Please read these Terms and Conditions ("Terms") carefully before using the VuSpex virtual inspection platform and website (collectively, the "Service") operated by VuSpex, Inc. ("VuSpex," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, requesting a trial, or otherwise using the VuSpex Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Use of the Service
VuSpex grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your organization's internal inspection workflows. You agree not to:
- Reproduce, duplicate, copy, sell, or resell any portion of the Service
- Use the Service for any unlawful purpose or in violation of any regulations
- Attempt to gain unauthorized access to any portion of the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Upload or transmit viruses or any other malicious code
3. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify VuSpex immediately of any unauthorized use of your account. VuSpex reserves the right to terminate accounts that violate these Terms.
4. Subscription and Payment
Certain features of the Service are offered on a subscription basis. By subscribing, you agree to pay the applicable fees as described in our pricing schedule. Fees are billed in advance on a monthly or annual basis. VuSpex reserves the right to modify pricing with 30 days' notice. All fees are non-refundable except as required by law.
5. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of VuSpex, Inc. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of VuSpex.
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of data as described in the Privacy Policy.
7. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. VuSpex does not warrant that the Service will be uninterrupted or error-free.
8. Limitation of Liability
To the maximum extent permitted by applicable law, VuSpex shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service, even if VuSpex has been advised of the possibility of such damages. VuSpex's total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amounts paid by you to VuSpex in the twelve months preceding the claim.
9. Termination
VuSpex reserves the right to terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease.
10. Governing Law
These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in California.
11. Changes to Terms
VuSpex reserves the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
